  • Consumer : a natural person acting for purposes that do not fall within their commercial, industrial, artisanal, liberal, or agricultural activity.
  • Module : software extension (module or widget of the Builder) of the CMS Easy Soft Edit, offered in the catalog and provided in the form of a signed digital package.
  • License : non-exclusive right to use a Module, granted for a designated site.
  • Client Site : the Easy Soft Edit installation (a master domain and its aliases) on which the Module is activated.
  • Trial Period : free period of 14 days during which the Module can be used without commitment.
  • Site : the site and its module catalog.

Article 3 — Scope and acceptance

These GTC apply to any order of Module placed on the Site, to the exclusion of any other document. They do not cover hosted subscriptions, site creation, or specific developments, which are subject to a quote.

The Client accepts the GTC by checking the box provided before confirming their order. The applicable version is the one in effect on the date of the order; it remains downloadable and printable on the Site.

The use of the Modules is also governed by the Usage License of Easy Soft Edit. In case of contradiction, these GTC take precedence for all matters concerning the online sale of the Modules.

Certain clauses vary depending on whether the Client is a professional or a Consumer; they specify this. No clause deprives a Consumer of the rights granted to them by the mandatory provisions of the Consumer Code.

Article 4 — Modules offered

The catalog presents for each Module its functions, version, compatibility (minimum version of Easy Soft Edit and PHP), the files added to the installation, and its price. The Client checks before purchase that their installation meets these prerequisites.

The Modules require a valid Easy Soft Edit installation license. They are provided in the form of signed packages, without physical support, and installed from the Administration's Catalog screen.

The photographs and screenshots in the catalog are illustrative. The Publisher may evolve their catalog at any time; a Module already purchased remains usable under the conditions of article 9.

Article 5 — Free trial period of 14 days

Each paid Module can be tried for free for 14 calendar days from its installation on the Client Site. The trial is limited to one trial per Module and per Client Site.

During the trial:

  • the Module is fully functional, unless otherwise stated on its sheet;
  • no payment method is requested and no amount is due;
  • the Client can uninstall the Module at any time, free of charge and without formalities.

A reminder is sent to the Client 3 days before the end of the trial. At the end of the 14 days, failing purchase, the Module is automatically deactivated. The data entered with the Module remains on the Client's hosting and becomes accessible again in the event of a later purchase.

The trial does not constitute a sale: the sales contract is concluded only when the Client orders according to article 6. No order is automatically placed at the end of the trial.

Article 6 — Order

The Client places an order from their “My account” space or the Administration's Catalog screen, during or after the trial period. The order follows these steps:

  1. selection of the Module(s) and the concerned Client Site (master domain);
  2. display of the summary: Modules, Client Site, price excluding VAT and including VAT, taxes;
  3. acceptance of these GTC and the License, by checking a box;
  4. express agreement for immediate activation of the License and acknowledgment of the loss of the right of withdrawal (article 11), by a separate checkbox;
  5. validation by a button labeled “Order with payment obligation,” then payment.

The Client can correct their choices at each step before validation. The order is final after payment confirmation.

The Publisher sends the Client, without delay, by email, an order confirmation including the Modules, the price, these GTC as an attachment, and the confirmation of the agreement and acknowledgment mentioned in point 4. The invoice is available in the “My account” space.

The Publisher may refuse an order in case of a previous payment dispute or violation of the License by the Client.

Article 7 — Price

Prices are indicated in euros, excluding taxes and all taxes included, VAT at the applicable rate. As an indication, the paid Modules in the catalog are offered between €190 and €490 excluding VAT per Client Site, in a single payment. The applicable price is the one displayed at the time of the order.

The price covers the Module License for one Client Site and the updates defined in article 9. It does not cover custom installation, configuration, training, or specific developments, charged based on a quote.

The Publisher may change their prices at any time; the Modules already ordered remain billed at the price accepted at the time of the order.

Article 8 — Payment

The price is payable in full, at the time of order, by:

  • credit card, via the secure payment provider [provider name];
  • SEPA direct debit or bank transfer, for professional Clients, upon invoicing.

Banking data is processed by the payment provider; the Publisher does not have access to it and does not retain it.

For a professional Client, any payment delay automatically incurs penalties at three times the legal interest rate and a fixed compensation of €40 for recovery costs (articles L441-10 and D441-5 of the Commercial Code). The Publisher may suspend the License until full payment.

Article 9 — Delivery, license, and updates

Delivery. The License is activated upon payment confirmation: the already installed trial Module remains active without interruption or becomes installable from the Catalog. In case of activation failure, the Client notifies the Publisher, who restores access within 2 business days.

License. The purchase grants a non-exclusive, non-transferable license for an indefinite duration of the Module, for the sole designated Client site in the order. Another site or installation requires an additional license. The code remains the exclusive property of the Publisher; the prohibitions of article 3 of the license apply.

Updates. The Client receives free of charge, in the form of signed packages, corrective and security updates for the Module for 12 months from the purchase date. Beyond this, the Module continues to operate in its last received version; subsequent updates may require a paid renewal. Updates necessary to maintain the Module's compliance are provided to the Consumer for the duration required by law.

Clients with an Essential, Pro, or Custom hosted subscription receive updates as part of their subscription.

Article 10 — Support

Support covers the installation and normal use of the Module. It is provided by email at contact@easysoftedit.org, on business days, with a first response within 2 business days. Online documentation is part of the support.

Support does not cover intervention on the Client's hosting, training, customization, or troubleshooting modifications not made by the Publisher, charged by estimate (€450 excluding tax per day as a guide).

Article 11 — Right of withdrawal

Principle. The 14-day free trial allows the Client to evaluate each Module before any payment. It serves as a cooling-off period without having to pay to discover the product.

Professional Client. The Client who purchases for the needs of their professional activity does not benefit from the right of withdrawal, except if they meet the conditions of article L221-3 of the Consumer Code (no more than 5 employees and purchase outside the scope of their main activity). In this case, the rules applicable to Consumers below apply.

Consumer. According to article L221-28, 13° of the Consumer Code, the right of withdrawal cannot be exercised for the provision of digital content without physical support when the following three conditions are met:

  1. execution has begun after the Consumer's prior and express agreement;
  2. the Consumer has acknowledged that they thereby lose their right of withdrawal;
  3. the Publisher has sent them confirmation of this agreement and acknowledgment on a durable medium.

When ordering, the Consumer checks a separate box requesting immediate activation of the License and acknowledges losing their right of withdrawal upon this activation. The order confirmation sent by email includes this agreement and acknowledgment. The License is activated only after this agreement.

If the Consumer does not check this box, they retain a right of withdrawal for 14 days from the order, and the License is activated only after this period expires. They then exercise this right from their “My account” area or by email at contact@easysoftedit.org; the Publisher refunds them within 14 days by the payment method used.

Warranties maintained. The loss of the right of withdrawal does not deprive the Consumer of the legal warranty of conformity (article 12).

Article 12 — Warranties

Consumer. The Consumer benefits from the legal warranty of conformity of digital content and services (articles L224-25-1 and following of the Consumer Code). In case of a lack of conformity, they can obtain the conformity of the Module or, failing that, a price reduction or contract termination with reimbursement. They send their complaint to contact@easysoftedit.org.

Professional Client. The Publisher guarantees that the Module conforms to its catalog sheet and documentation at the delivery date. For 3 months, any reproducible anomaly preventing compliant use is corrected free of charge within a reasonable time after written notification.

Exclusions. The warranties do not cover anomalies due to a code modification not performed by the Publisher, to a hosting or PHP version outside the prerequisites, to a third-party component or service, to use not compliant with the documentation, or to refusal to install the provided updates.

Article 13 — Liability

The Client is responsible for backing up their installation and data before any installation or update of a Module. The catalog tool performs an automatic backup and allows undoing the last installation, without releasing the Client from their own backups.

Towards a professional Client, the Publisher's liability is limited to direct and foreseeable damages resulting from proven failure, excludes indirect damages (loss of revenue, clients, data, image) and is capped at the price paid for the concerned Module.

These limitations do not apply to gross negligence or fraudulent intent, nor to bodily injury, nor to the rights that the Consumer holds under the law.

Article 14 — Force majeure

No party is liable for a failure caused by an event of force majeure within the meaning of article 1218 of the Civil Code. If the impediment lasts more than 30 days, each party may terminate the unexecuted order in writing.

Article 15 — End of the license

In case of violation of the License, notably installation on an unauthorized site or circumventing protections, the Publisher may, after a formal notice remained without effect for 15 days, terminate the License of the concerned Module without reimbursement. The Client's contents remain exportable.

Article 16 — Personal data

The Publisher processes the Client’s data (identity, contact details, Client site, order and trial history) to manage trials, orders, billing, license activation, and support. Legal basis: performance of the contract and legal obligations. Accounting documents are retained for 10 years.

The recipients are the Publisher, its host, its payment service provider, and its email dispatch service. The Client exercises their rights (access, correction, deletion, limitation, opposition, portability) at contact@easysoftedit.org and may contact the CNIL. See also the legal notices.

Article 17 — Complaints and mediation

Any complaint is addressed to contact@easysoftedit.org or at 20 rue de Molsheim, 67000 Strasbourg. The Publisher will respond within 15 days.

In accordance with Articles L612-1 and following of the Consumer Code, the Consumer can resort free of charge to a consumer mediator after a written complaint that remained unanswered satisfactorily.

Consumer mediation: https://www.service-public.gouv.fr/particuliers/vosdroits/R58833

Mediation must be initiated within one year following the written complaint.

Article 18 — Governing law and jurisdiction

These GTC are governed by French law; only the French version is authoritative.

Between professionals, any dispute falls under the exclusive jurisdiction of the Strasbourg courts. The Consumer may choose to bring the case to the jurisdiction of the place where they resided at the time of the order or that of the Publisher's domicile.

Article 19 — Modification of the GTC

The Publisher may modify these GTC. The applicable GTC are those accepted at the time of the order.
