Easy Soft Edit licence of use

1. Object

This license frames the use of the Easy Soft Edit software by the client: core, update tool, provided modules and widgets, installation kit, and documentation.

2. What you can do

10@@use the software for the site or sites of the installation designated in the quote, and administer it;
• create your content, your templates, your menus, and your settings with the administration and the builder, without page limits;
• activate the modules and widgets provided to you;
• make backup copies of your installation and your data;
• install updates provided by the publisher;
• export your content and your data at any time;
• entrust the operation of your site to a technical provider, provided that they respect this license.

3. What is prohibited without written permission from the publisher

• modify, adapt, correct, or translate the code of the software (PHP, JavaScript, CSS, core configuration files);
• copy or reproduce the software, in whole or in part, other than for the backup of your installation;
• install the software on other sites or hostings, or for other clients, than those provided in the quote;
• reuse all or part of the code, the data structure, the widgets, or the documentation for another project, product, or site;
• extract, publish, redistribute, sell, rent, lend, sublicense, or make the software available to third parties, including hosting it for third parties;
• circumvent or disable the software protections (update signature, integrity check, rights control);
• remove ownership, license, or brand mentions;
• develop a competing product or service from the software.

4. Installation at the client

• the installation is done by the publisher or using their installation kit;
• the client does not modify core files: the update screen checks the integrity of the CMS, and an update never replaces a modified file without agreement;
• any code customization is performed by the publisher, on quote;
• content, templates, menus, texts, and settings can be freely modified from the administration;
• updates are provided according to the chosen formula (included in the subscription).

5. Ownership

The publisher remains the sole holder of all rights to the software: code, structure, documentation, installation kit, brand "Easy Soft Edit" and logo. No rights other than those expressly granted here are transferred.

Specific developments made for the client: property or right of use defined in the quote.

6. Your content and your data

You remain the owner of your content (texts, images, videos, accounts, received messages) and responsible for their legality. The publisher only accesses them for maintenance, with your agreement, respecting GDPR.

7. Third-party components

Easy Soft Edit includes free components. They remain subject to their own license, which applies solely to them; this license does not restrict any of the rights they grant you on these components.

8. Warranty and liability

Warranty of conformity

The publisher guarantees that the delivered software conforms to the quote and the documentation in effect at the date of delivery.

For [3 months] from the delivery date, any reproducible anomaly that prevents compliant use as per the quote is corrected free of charge, within a reasonable time, after written notification describing the problem. Beyond this period, corrections are ensured within the framework of the subscription or maintenance contract, or on quote.

The warranty does not apply when the anomaly results from:

• a modification of the code or core files not made by the publisher;
• from hosting, a version of PHP or a server configuration not meeting the stated requirements;
• from a third-party component, an external service (messaging, mapping, API) or a module not provided by the publisher;
• from non-compliant use according to the documentation or intended use in the quote;
• from a refusal or delay in installing the provided updates;
• of a force majeure case.

The publisher does not guarantee that the software will operate without any interruption or errors. For the hosted plan, it commits to implementing reasonable means to ensure service availability; maintenance operations are announced in advance as much as possible.

Limitation of liability

To the extent permitted by law, the publisher's liability:

• is limited to direct and foreseeable damages resulting from a proven breach of its obligations;
• excludes indirect damages, such as loss of revenue, clientele, reputation, or opportunity;
• is capped, all damages combined, at the amount paid by the client for the license or subscription during the [12] months preceding the triggering event.

These limitations do not apply in cases of gross negligence or willful misconduct by the publisher, nor in cases of bodily injury.

You remain solely responsible for your content, its legality, the use of your identifiers, and the actions carried out from your accounts.

Backups

Installed at your location: you are responsible for the regular backup of your installation and data, and for keeping these backups off the server. A backup is recommended before any update. The publisher cannot be held responsible for data loss that appropriate backups could have prevented.

Hosted by the publisher: the publisher performs [daily] backups, retained for [30 days]. It is nonetheless recommended that you regularly export your content and keep a copy of important files.

If you are a consumer

If you are acting as a consumer or non-professional, you benefit from the legal guarantees provided by the Consumer Code, in particular the guarantee of conformity of digital content and services. The limitations in this article do not restrict them.

9. Duration and termination of the license

The license lasts as long as the subscription or, for a standalone license, for the duration specified in the quote.

In case of non-compliance with article 3, the publisher may terminate the license after formal notice that has gone unheeded. The client then ceases to use the software and deletes their copies. Your content remains exportable.

10. Applicable law

This license is subject to French law. In case of dispute, the courts of Strasbourg have jurisdiction.
